4.2 These Terms are governed by the laws of England and Wales and the courts of England and Wales shall have exclusive jurisdiction in respect of any dispute arising out of or in connection with these Terms.

4.3 Failure of Eight Roads to act on or enforce any provision of these Terms shall not be construed as a waiver of that provision or any other provision in these Terms. No waiver shall be effective against Eight Roads unless made in writing.
