James joined Eight Roads in 2014 and provides legal advice, support and oversight across the entire Eight Roads’ investment portfolio.

What is the job you do at Eight Roads? Can you briefly describe a day in your life at work?

No two days are the same! I provide legal advice, support and oversight across the entire Eight Roads’ investment portfolio whether that’s- helping to establish new proprietary funds; assisting with the governance and administration of those funds; negotiating investment documents for venture portfolio companies, principal investments and third party fund investments (including follow-on investments); helping to design and put in place equity incentive plans for our principal investment companies; negotiating the terms of an exit; inputting into the drafting of a prospectus for a portfolio company which is preparing for an IPO; responding to KYC and AML requests; negotiating non-disclosure agreements; overseeing real estate investments and re-financings; reviewing, negotiating and drafting a variety of commercial agreements (including GDPR provisions); liaising with external counsel and our legal and risk, company secretarial, finance, HR and ventures investment teams across the world.

Looking back, what’s been the steepest learning curve on your career journey so far?

My move from Allen & Overy LLP (an international firm with extensive resources), to Thomson Snell & Passmore (a regional firm whose corporate focus was on entrepreneurs and owner managed businesses) when I went from being an employee to an owner (with all of the opportunities, risks, rewards and responsibilities associated with that).

If you could give one piece of advice to your 20-year-old self what would it be?

Your professional relationships are equally (if not more important) than what you know (or realise that you don’t know).

How do you directly support our entrepreneurs/principal investments/portfolio companies? Can you give an example?

By acting as a sounding board and sharing my practical experience with them - whether commenting on a letter of intent or term sheet, suggesting solutions to legal and commercial issues that crop up or helping with transaction planning and execution.
